Attorney - Capital Markets and Securities, NY, NY. Provide legal svcs & advise companies on U.S. & foreign (incl Canadian) capital mkts matters, structuring, governance & general corporate issues. Reqs Juris Doctor or Master of Laws deg, or foreign equiv. Must have 2 yrs of exp: advising domestic US & foreign private issuers in respect of equity offerings (incl initial public offerings & secondary/follow-on offerings), debt offerings (incl investment-grade & high-yield notes offerings) & other securities offerings (incl exchange offers) in SEC-registered transactions & offshore transactions; & representing multinational companies in Canadian-based cross-border transactions, incl under the SEC's multijurisdictional disclosure system for Canadian issuers, & ongoing reporting matters. Must be licensed to practice law in NY. Occasional domestic US & int'l travel (1-2 trips/yr) reqd for client meetings & to conduct due diligence. $410,000 - $420,000/yr.
